REFUND POLICY & PAYMENT IRREVOCABILITY CLAUSE
This Refund Policy & Payment Irrevocability Clause (“Policy”) forms an integral part of the Purchase Agreement, Subscription Agreement, Allocation Agreement, or any other binding contract (the “Agreement”) entered into between Ebonyvillas.com (“Company,” “Ebonyvillas,” “we,” “us,” or “our”) and the Purchaser/Subscriber/Allottee (“Purchaser” or “Client”) in respect of participation in the EV3 Project (the “Project”).
Ebonyvillas is committed to transparency and responsible project execution. This Policy is designed to clearly explain how payments are applied within the Project and to ensure all participants have a shared understanding of the financial structure supporting land acquisition and development.
By executing the Agreement and/or making any payment toward the Project, the Purchaser acknowledges and agrees to the terms set forth herein.
1. PURPOSE OF PAYMENTS
1.1 The Purchaser acknowledges and agrees that all monies paid toward the EV3 Project are promptly and directly applied toward essential project components, including:
- Acquisition of land and related property interests;
- Land surveys, title processing, and legal documentation;
- Government fees, levies, and statutory charges;
- Infrastructure development (including roads, drainage, utilities, and site preparation);
- Professional, administrative, operational, and project management services; and
- Other necessary costs required for the successful execution of the Project; and
- Development, maintenance, and operation of payment systems and financial processing infrastructure.
1.2 The Purchaser understands that the Company undertakes financial commitments and development activities in reliance on payments received.
2. NON-REFUNDABLE NATURE OF PAYMENTS
2.1 Due to the immediate allocation of funds toward land acquisition and development, all payments made toward the EV3 Project are final and non-refundable.
2.2 This structure allows Ebonyvillas to efficiently secure land, initiate development, and deliver value to all participants in the Project.
2.3 Accordingly, payments made shall not be refundable in circumstances including, but not limited to:
- Voluntary withdrawal from the Project;
- Changes in personal or financial circumstances;
- Inability to complete a payment plan;
- Delays in payment; or
- Any reason not arising from a material breach by the Company.
2.4 Notwithstanding the above, the Purchaser will be entitled to a full refund where the Project is not delivered due to proven negligence, willful default, or material failure on the part of the Company.
2.5 Any such refund shall:
- Be subject to verification of the Company’s failure as determined in accordance with the Agreement;
- Be processed within a reasonable timeframe following resolution of the matter.
2.6 For the purpose of this Policy:
(a) “Delivery” shall mean the Company has substantially fulfilled its core obligations under the Project, including:
- Securing valid legal title or registrable interest in the land;
- Allocating the Purchaser’s plot/unit as agreed;
- Completing or materially progressing agreed infrastructure (as defined in the Agreement or project plan);
- Providing documentation evidencing the Purchaser’s interest, subject to completion of payment.
(b) “Non-Delivery” shall mean a failure to achieve the above within a reasonable timeframe as defined in the Agreement, excluding delays caused by Force Majeure or factors outside the Company’s control.
(c) “Negligence” shall mean a demonstrable failure by the Company to exercise reasonable care, skill, and diligence in executing the Project, including but not limited to:
- Misapplication or diversion of project funds;
- Failure to take reasonable steps to secure land or legal title;
- Unjustified abandonment of the Project;
- Failure to act on required approvals or processes within a reasonable timeframe where within the Company’s control.
(d) “Exclusions from Negligence” shall include delays or issues arising from:
- Government actions, regulatory changes, or approval delays;
- Market conditions or third-party contractor performance (where reasonably managed);
- Force Majeure events as defined in this Agreement.
2.7 The Purchaser acknowledges that this non-refundable model is a fundamental part of the Project framework and enables the Company to plan and execute development with certainty.
3. PAYMENT PLANS AND DEFAULT
3.1 Where a Purchaser elects to pay via an installment plan, the Purchaser agrees to adhere to the agreed payment schedule.
3.2 In the event of payment default:
- The Company shall continue development work on the property using available funds until such funds have been reasonably exhausted.
- Where available funds are exhausted, the Company reserves the right to suspend or delay further development activities until payments or funding resume.
- During any suspension period, the Purchaser may request to sell, assign, or transfer their rights or interest in the property to an eligible third party, subject to the Company’s written approval and compliance with applicable transfer procedures.
3.3 Ebonyvillas may, at its discretion, engage with the Purchaser to explore reasonable solutions before revocation, but is not obligated to do so.
4. TERMINATION BY COMPANY
4.1 The Company reserves the right to terminate the Agreement in cases of:
- Material breach of contract;
- Fraudulent misrepresentation;
- Unauthorized chargebacks or disputes; or
- Failure to comply with agreed obligations.
4.2 In such cases, payments made shall be retained as compensation for commitments already undertaken, including administrative, operational, and opportunity costs.
5. TRANSFER OR REASSIGNMENT (SUBJECT TO APPROVAL)
5.1 Ebonyvillas understands that circumstances may change. At the Company’s discretion, a Purchaser may request to transfer their interest in the Project to another qualified party.
5.2 Any approved transfer shall:
- Require prior written consent from the Company;
- Be subject to applicable administrative and legal fees; and
- Not constitute a refund.
5.3 The Company will make reasonable efforts to consider transfer requests but reserves the right to decline such requests where necessary.
6. COOLING-OFF PERIOD
6.1 RIGHT TO CANCEL
(a) The Purchaser shall have a cooling-off period of 14 days from the date of signing this Agreement.
(b) During this period, the Purchaser may cancel the Agreement by providing written notice.
6.2 REFUND DURING COOLING-OFF
(a) If cancellation occurs within the cooling-off period:
(b) The Purchaser shall receive a full refund of all payments made;
(c) Less any direct third-party costs already incurred (if any), which must be evidenced.
6.3 WAIVER OF COOLING-OFF
(a) The Purchaser may waive the cooling-off period by providing written consent where immediate project participation is required.
7. FORCE MAJEURE
7.1 Ebony Villas shall not be liable for delays or changes caused by events beyond its reasonable control, including governmental actions, legal changes, natural events, pandemics or other unforeseen circumstances.
7.2 Such events shall not create a right to a refund but may reasonably affect project timelines.
8. CHARGEBACKS AND PAYMENT DISPUTES
8.1 The Purchaser agrees to contact the Company directly to resolve any payment concerns before initiating a chargeback or dispute.
8.2 Unauthorized or unjustified chargebacks will be treated as a breach of the Agreement.
8.3 The Company reserves the right to recover associated losses, costs, and fees resulting from such actions.
9. ACKNOWLEDGMENT AND CONFIRMATION
By signing the Agreement and/or making payment, the Purchaser confirms that:
- They have read and understood this Policy;
- They acknowledge that payments are non-refundable due to the nature of the Project;
- They have had the opportunity to seek independent advice; and
- They are entering into the Agreement willingly and with full understanding.
